Welcome to Kaivan Tech. These Terms of Service (“Terms”) govern your access to and use of our website kaivantech.com and our custom AI automation, AI agents, and software development services. By accessing or using our services, you agree to be bound by these Terms.
1. Services and Scope
Kaivan Tech provides custom software engineering and AI workflow automation consulting. The specific scope, deliverables, timeline, and fees for any custom build (e.g. AI agents, SaaS dashboards) will be outlined in a separate, written contract and statement of work (SOW) signed by both parties.
2. Intellectual Property (IP)
Unless specified otherwise in your SOW, upon full payment of the agreed fees, Kaivan Tech assigns all intellectual property rights, source code ownership, and custom AI agent configurations developed for your project directly to you, the client. Kaivan Tech retains rights to its pre-existing library templates, boilerplates, and open-source models used during development.
3. Client Responsibilities
You agree to provide timely feedback, assets, API keys, and credentials necessary for us to build and integrate your AI agents and software pipelines. We are not responsible for project delays caused by a lack of access to client systems or required tools.
4. Limitation of Liability
To the maximum extent permitted by law, Kaivan Tech will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or system downtime resulting from the operation of custom AI agents, API integrations, or third-party Large Language Model providers.
5. Governing Law
These Terms and any dispute arising under them shall be governed by and construed in accordance with the laws of Gujarat, India, without giving effect to conflict of laws principles.
6. Updates to Terms
We may modify these Terms from time to time. If we make material changes, we will update the “Last updated” date at the top. Continued use of our site or services after changes constitute acceptance of the updated Terms.
